闫鹏和律师（Harvey YAN）现任中银律师事务所总所（北京）高级合伙人，执业逾16年，深耕跨境投资并购、海外工程与基础设施、能源与矿产、跨境争议解决与制裁合规等高端涉外法律业务。其客户覆盖中外央国企、产业龙头、跨国公司及国际PE基金，业务横跨中俄、中欧、中亚、东南亚及拉美地区，擅于统筹中国法、英国法及多个境外法域并行落地复杂跨境交易。

闫律师同时担任瑞士中国法律协会（SCLA, 日内瓦）创始会员，并于 2022 年与俄罗斯 Ingvarr 律所共同发起Russia-China Desk 跨境法律服务平台，长期为中俄、中欧及「一带一路」沿线投资项目提供端到端法律解决方案。其领衔的多个跨境并购项目获评新华网、中国政法大学律师学研究中心《2024跨境贸易、投资与并购法律服务入选案例》。

Harvey YAN is a Senior Partner at Zhong Yin Law Firm (Headquarters, Beijing) with over 16 years of practice. He focuses on cross-border investment and M&A, outbound engineering and infrastructure, energy and mining, cross-border dispute resolution and sanctions compliance, and other high-end international legal matters. His clients include Chinese and international central and state-owned enterprises, industry leaders, multinational corporations and international PE funds. His work spans the China–Russia, China–Europe, China–Central Asia, Southeast Asia and Latin America, with deep experience coordinating PRC law, English law and multiple foreign jurisdictions for complex cross-border transactions.

Harvey is a founding member of the Swiss-China Law Association (SCLA, Geneva), and in 2022 co-founded the Russia-China Desk cross-border legal services platform together with the Russian law firm Ingvarr, providing end-to-end legal solutions for investment projects across Russia, Europe and the Belt & Road region. Several of his cross-border M&A matters have been recognized in Selected Cases of Legal Services for Cross-Border Trade, Investment and M&A 2024, jointly published by Xinhuanet and the Lawyer Research Center of China University of Political Science and Law.

• Acted as the lead PRC counsel to a Sweden-listed biopharmaceutical company in its acquisition of 100% equity in a US innovator drug company (consideration of approximately US$1.5 billion), addressing key China-side issues including joint-venture structuring, IP-in-kind contributions and clinical-data compliance
• Acted as PRC counsel to a UK financial holding group in the privatization of a listed bank (deal value exceeding HK$100 billion)
• Acted as PRC counsel to a US PE fund in its carve-out acquisition of a target company's global cement business
• Acted as lead counsel to a subsidiary of a Chinese central SOE in its investment in the Clark New City Industrial Park PPP project in the Philippines (total investment of approximately US$4 billion)
• Acted as lead counsel to a Chinese SOE in the equity investment and EPC contracting of the Dhaka-to-port elevated expressway PPP project in Bangladesh
• Acted for a Russian oil & gas company in its acquisition of controlling interest in an Inner Mongolia LPG enterprise and in the equity of a Manzhouli logistics company — recognized in Selected Cases of Legal Services for Cross-Border Trade, Investment and M&A 2024 (jointly published by Xinhuanet and the Lawyer Research Center of China University of Political Science and Law)
• Advised a leading Chinese feed-processing enterprise on its IP-in-kind capital increase into a Russian joint venture (investment scale of approximately RMB 6 billion), pioneering an innovative model in which Chinese IP is contributed offshore and secures multi-billion-RMB Russian financing
